These terms govern the services SoftSync Lab (“SoftSync Lab”, “we”, “us”) provides to businesses (“you”, the “client”), including:
- custom software we build and run, such as CRM, HRMS, ERP and workflow automation;
- products we operate, such as RoSync for CA and ClinicDost; and
- WhatsApp Business Platform services we provide as a Meta Tech Provider.
By signing a quotation or agreement with us, or by using a service, you agree to these terms. A signed quotation, proposal or agreement (“order”) may add or change terms for that work; where it conflicts with these terms, the order wins. Some products have their own terms (for example, RoSync for CA at ca.softsyncsolutions.in/terms), which apply alongside these.
1. Our services
We provide the work described in your order: software development, setup, hosting, support and maintenance, and WhatsApp Business Platform onboarding and integration. Anything not listed in the order is outside its scope and may be quoted separately.
Professional, medical, legal, tax or financial decisions you make using our software remain your responsibility.
2. WhatsApp Business Platform
When we connect your business to the WhatsApp Business Platform:
- Your WhatsApp account is yours. You connect your own WhatsApp Business account through Meta’s sign-up window (“Embedded Signup”). You own the account, phone number and display name, and you can disconnect our access at any time in Meta Business Manager.
- You must follow Meta’s rules. You agree to the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, and to any rules Meta adds later.
- You must have permission to message people. Message only customers who have agreed to hear from you on WhatsApp, use approved message templates where Meta requires them, and stop messaging anyone who replies STOP or asks you to stop.
- You pay Meta directly. Meta’s messaging charges are billed by Meta to the payment method in your own WhatsApp Business account. Our fees cover only our own work and do not include Meta’s charges. Meta sets and changes its prices; we do not control them.
- Meta can act on your account. Meta may limit, pause or ban numbers, templates or accounts, for example for low quality ratings or policy breaches. We will help where we can, but we are not responsible for Meta’s decisions.
- We are a Meta Tech Provider. We are not Meta, and we are not a Meta Business Partner unless we say so.
3. Your responsibilities
- Give us the information, access and approvals we need on time.
- Make sure you have the right to share any data you give us, and that your use of the services is lawful, including under India’s Digital Personal Data Protection Act, 2023.
- Keep login details confidential and tell us promptly about any unauthorised use.
- Do not use the services to send spam, unlawful content or messages people did not ask for, or to try to break or misuse our systems.
4. Fees and payment
- Fees, milestones and payment terms are set out in your order. Unless the order says otherwise, invoices are due within 15 days.
- Prices are exclusive of GST, which is added as applicable.
- Recurring fees for hosting, support, maintenance (AMC) or subscriptions are billed in advance for each period.
- If an invoice is overdue by more than 30 days, we may pause the related services after giving you notice.
- Third-party costs such as Meta messaging charges, domains or app-store fees are payable by you, either to the provider directly or as stated in your order.
5. Ownership
- Your data remains yours. We process it only to provide the services, as described in our Privacy Policy.
- Custom work: once you have paid all fees for custom software we build for you, you own the code written specifically for you, unless your order says otherwise.
- Our products and tools: we keep ownership of our products (such as RoSync for CA and ClinicDost), our reusable components and libraries, and our know-how. Where these are part of your custom software, you get a licence to use them with that software.
6. Confidentiality
Each of us will keep the other’s confidential information private and use it only for the work. This does not cover information that is already public or that the law requires to be disclosed.
7. Data protection
For personal data you put into our software or send through WhatsApp, you are the Data Fiduciary and we act as your Data Processor, as set out in our Privacy Policy. We will:
- process it only on your instructions;
- keep it secure;
- not sell it, use it for advertising, or use it to train AI models; and
- help you respond to requests from the people it belongs to.
8. Availability and support
We aim for high availability, but we do not guarantee uninterrupted or error-free service, including where it depends on Meta, hosting providers or other third parties. Support hours and response times are as set out in your order or support plan.
9. Liability
- The services are provided with reasonable skill and care. Apart from that, and to the extent the law allows, we give no other warranties.
- We are not liable for indirect or consequential loss, lost profits or lost data caused by events outside our reasonable control.
- To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
10. Ending the services
- You may end a service as set out in your order. Unless the order says otherwise, you can end recurring services with 30 days’ written notice.
- We may suspend or end a service if you seriously breach these terms (including Meta’s policies) and do not fix the breach within 15 days of our notice. We may act at once where the law or Meta requires it.
- When a service ends, you can ask us to export your data. We delete it within 90 days, as described in our Privacy Policy and Data Deletion page.
- Fees for work already done remain payable.
11. Changes
We may update these terms. The “Last updated” date shows the current version. We will tell clients about significant changes before they take effect.
12. Governing law
These terms are governed by the laws of India. Courts in Bengaluru, Karnataka have exclusive jurisdiction.
